For private equity

AI that holds up in diligence and shows up at exit.

We help lower-middle market sponsors put governed AI to work across the hold period, inside portfolio companies that rarely have a CTO, let alone an AI strategy. Every system is owned by the company, measured against EBITDA, and documented for the next buyer.

The shift

Buyers now diligence AI the way they diligence the books.

Margin expansion and growth still drive value. What has changed is what the next buyer looks for. They want to know whether AI is actually embedded in how the company operates, whether the company owns it, and whether it creates risk they will have to price in.

In the lower-middle market, the answer is usually uncomfortable. Portfolio companies are running on consumer AI tools with no policy, no data controls, and no documentation. That is not a value driver at exit. It is a diligence finding.

Vantara closes that gap early in the hold, when there is still time to turn AI from a liability into a documented asset.

Questions your next buyer will ask
Which workflows run on AI today, and who approved them?
Is client and company data leaving the building through AI tools?
Does the company own its models, prompts, and data pipelines?
Can you show the AI policy, the audit trail, and the results?
How AI moves enterprise value

Three levers, one number that matters at exit.

Take cost out

Grow without growing headcount
  • Automate the high-volume work that sits on payroll: document processing, intake, billing, reporting, reconciliations.
  • Agentic workflows with human checkpoints, so quality holds as volume rises.
  • A margin improvement a buyer can trace to specific, running systems.

Professionalize operations

From founder-run to institution-ready
  • Modernize the data, systems, and reporting underneath the business.
  • Give the company technology leadership it has never had, through a fractional CIO, CTO, or CAIO.
  • Move the company toward the tech-enabled category, which is a different conversation with a buyer.

Build assets the company owns

AI that counts as IP, not a subscription
  • Systems built on the company's own data, owned outright by the company.
  • Documented architecture, policies, and results that stand up in a data room.
  • Defensible capability a competitor cannot buy off the shelf tomorrow.

Governance is what makes all three count. Every engagement runs on GovernanceLift™, our pre-built framework of policies, controls, and audit trails, so the value you create is value a buyer can verify.

How we partner

We work at the fund and inside the portfolio.

Sponsors need AI working at two levels. We cover both, with one team accountable for both.

At the fund

For the sponsor and operating partners

Portfolio AI assessment
We rank AI opportunities company by company, so value creation capital goes where it returns the most.
A repeatable playbook
One governance framework and one delivery method across every company, so lessons compound across the portfolio.
AI for fund operations
Deal screening, portfolio monitoring, and LP reporting workflows for the fund's own team.
Operating partner enablement
Working sessions that make operating partners fluent enough to push AI initiatives with portfolio CEOs.
Inside the portfolio company

For the CEO and leadership team

Fractional technology leadership
A senior CIO, CTO, or Chief AI Officer embedded part-time, often the company's first real technology executive.
Governance before tools
AI policy, data controls, and oversight in place before the first system goes live.
Implementation that ships
Workflow orchestration and automation, data readiness, and modernization delivered with our onshore and offshore partner network.
A stronger team when we leave
Training and documentation so the company runs and improves what we build without us.
The gap most portfolios share

Most lower-middle market companies don't have a CTO. We can be one.

A $30M services business rarely justifies a full-time technology executive, yet it now faces decisions about AI, security, and systems that will show up in its exit value. Our principals have held these seats at law firms, accounting firms, and professional services organizations for more than 20 years.

We step in part-time, set direction, manage vendors, report to the board, and hand off to a permanent hire when the company is ready.

CIOSystems, vendors, and IT operations brought under control
CTOTechnology strategy and modernization tied to the value creation plan
CDOData foundation that AI and reporting can be built on
CAIOAI strategy, governance, and board-level oversight
Why Vantara

Built for how the lower-middle market actually works.

Operators, not observers

Our principals have run technology inside professional services firms as CIO, CTO, and CDO. We know what it takes to get a leadership team to adopt something new.

Governance from the first day

GovernanceLift™ gives every portfolio company a defensible policy, controls, and audit trail, which is exactly what a buyer's diligence team will look for.

Sized for the companies you own

We focus on $5M–$250M revenue businesses. Our scoping, pricing, and pace fit a company that does not have a 40-person IT department.

Delivery capacity when you need it

A hybrid onshore and offshore model with partners including ChangePond and Intellect Technologies lets us scale implementation across several companies at once.

Common questions

What sponsors ask us most.

Have a question that isn't here? Call us at 347 674-1471.

How does AI actually move enterprise value in a portfolio company?
Three ways: it takes cost out by automating high-volume work, it professionalizes operations so the company moves toward the tech-enabled category, and it creates owned, documented assets a buyer can value. Governance is what lets a buyer trust all three.
Our portfolio companies are small. Is this realistic for them?
Yes. We work specifically with $5M–$250M revenue companies. We scope initiatives to what the team can adopt, start with governance and one or two high-return workflows, and use fractional leadership instead of a full-time hire.
What is GovernanceLift™?
It is our pre-built governance framework: an AI use policy, data handling controls, approval and oversight processes, and an audit trail, adapted to each company. It usually goes in during the first 100 days and becomes part of the exit documentation.
Can you work across several portfolio companies at once?
Yes. The same framework and delivery method apply across companies, and our partner network gives us implementation capacity to run several engagements in parallel. What we learn in one company becomes a starting point for the next.
Who owns what you build?
The portfolio company. Code, configurations, prompts, data pipelines, and documentation belong to the company, which is what allows them to be presented as assets at exit.

Tell us about your portfolio. We'll show you where the value is.

Start with a conversation about one company or the whole fund. We will tell you plainly where AI can move EBITDA and where it can't.
